Precision Autonomy offers the services available on the Site conditioned upon your acceptance of all the limitations of use and prohibited activities set forth below. By using the Site in any manner, you accept and agree to be bound by the Terms. The Terms may be updated by us from time to time without notice to you. Your continued use of the Site is your acceptance of the changed or modified Terms.  If you do not agree to any of these Terms, please do not use the Site. Precision Autonomy reserves the right to modify or terminate the Services and the Site or to terminate your access to the Services and Site, in whole or in part, at any time. These Terms constitute a contract between you and Precision Autonomy governed by the laws of the Texas, with the exception of its conflicts of laws provisions.

Registration Information

You may be invited to register at the Site to help us tailor our service for your needs. In registering for the Site, you agree to provide accurate, true, current, and complete information about you and/or your business as requested by the registration screens. As a convenience to you, a profile for you and/or your business may be created based on the registration information that you provide. This profile and any registration information you provide will be protected as described in our privacy policy.

Privacy

IN NO EVENT SHALL PRECISION AUTONOMY, ITS AFFILIATED COMPANIES, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR THEIR SERVICE PROVIDERS BE LIABLE FOR ANY DAMAGES (WHETHER CONSEQUENTIAL, DIRECT, INCIDENTAL, INDIRECT, PUNITIVE, SPECIAL, OR OTHERWISE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, A THIRD PARTY’S UNAUTHORIZED ACCESS TO YOUR INFORMATION, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, STRICT LIABILITY, TORT, OR OTHER THEORIES OF LIABILITY, AND ALSO REGARDLESS OF WHETHER PRECISION AUTONOMY WAS GIVEN ACTUAL OR CONSTRUCTIVE NOTICE THAT DAMAGES WERE POSSIBLE.

Some jurisdictions do not allow the exclusion of consequential or incidental damages, so portions of the above exclusions may not apply to you.

Copyrights and Trademarks

All of the pages and screens on the Site are owned and controlled by Precision Autonomy, except as otherwise expressly stated, and are protected by U.S. copyright laws and international treaties. The copyrighted materials on the Site include, but are not limited to, the text, design, software, images, graphics, source code, and the content on the Site. You may not copy, display, distribute, transfer, link to, reproduce, license, frame, alter, create derivative works of, or republish all or any portion of the Site, the Site content, or any other materials received from or originating from Precision Autonomy for any purpose without Precision Autonomy’s prior written consent. The PRECISION AUTONOMY™ trademark is owned by Precision Autonomy. Other featured words used on the Site to identify the source of goods and services are trademarks and service marks owned by Precision Autonomy or owned by third parties. You may not use, copy, display, distribute, modify, or reproduce any of the trademarks found on the Site except as authorized in this paragraph. You may not use any of the Precision Autonomy trademarks as a link to the Site except pursuant to a written trademark license agreement.

Notice and Procedure for Making Claims of Copyright Infringement in Accordance with DMCA

In accordance with the Digital Millennium Copyright Act, the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov, Precision Autonomy will respond expeditiously to clear notices of alleged copyright infringement that are reported to Precision Autonomy’s designated copyright agent identified below. As part of our response, we may remove or disable access to material residing on a site that is controlled or operated by Precision Autonomy that is claimed to be infringing, in which case we will make a good-faith attempt to contact the person who submitted the affected material so that they may make a counter notification, also in accordance with the DMCA. This page describes the information that should be present in these notices.

Notice of Infringing Material

If you are a copyright owner, or are authorized to act on behalf of an owner of the copyright or of any exclusive right under the copyright, and believe that your work has been copied in a way that constitutes copyright infringement, please report your notice of infringement to Precision Autonomy by providing Precision Autonomy’s designated copyright agent listed below with the following information:

1.         A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

2.         Identify in sufficient detail the copyrighted work that you believe has been infringed or, if multiple copyrighted works at a single online site are covered by a single   notification, a representative list of such works at that site.

3.         Identify the material that you claim is infringing the copyrighted work listed in #2 above and that is to be removed or access disabled, and information reasonably    sufficient to permit Precision Autonomy to locate the material;

4.         Provide information reasonably sufficient to permit Precision Autonomy to contact you, including a name, address, telephone number and email address;

5.         If possible, provide information sufficient to allow Precision Autonomy to notify the owner/administrator of the allegedly infringing content;

6.         Include the following statements:

a.   “I have a good faith belief that use of the copyrighted materials described above as allegedly infringing is not authorized by the copyright owner, its agent, or the law.”

b.     “I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.”

Forum Selection

These Terms and the relationship between you and Precision Autonomy shall be governed by the laws of the State of Texas without regard to any conflict of law provisions. You agree to the personal and exclusive jurisdiction of the courts located within Austin, Texas. You hereby consent to the exclusive jurisdiction and venue of the State and Federal courts in Austin, Texas in all disputes arising out of or relating to these Terms, our sites and site information.

Indemnification

You agree to defend, indemnify, and hold harmless Precision Autonomy, its affiliates, and their respective directors, officers, employees, and agents from and against all claims and expenses, including attorneys’ fees, arising out of your violation of these Terms or misuse of the Services or the Site, including such violation or misuses conducted by your employee or agent, if applicable.
